Effective Date: 5 April 2026 Last Updated: 5 April 2026 1.1 Who we are Vega Vidya is a learning tool and memory-palace platform operated by NOFICKLE TECHNOLOGIES PRIVATE LIMITED ("Company", "we", "us", or "our"). These Terms of Use ("Terms") govern your access to and use of Vega Vidya, including https://vegavidya.com, https://app.vegavidya.com, the dashboard, and related services (collectively, the "Service"). 1.2 Acceptance of these Terms By creating an account, accessing the Service, or using any part of the Service, you agree to these Terms. If you do not agree, do not use the Service. 1.3 Eligibility You must be 18 years of age or older and legally capable of entering into a binding arrangement to use the Service. By creating an account or using Vega Vidya, you represent that you are at least 18 years old. If we learn that an account belongs to a person under 18, we may suspend or terminate the account and take appropriate steps regarding associated personal data. 1.4 Account registration and security • You must provide accurate and current information when creating an account. • You are responsible for maintaining the confidentiality of your login credentials. • You are responsible for all activity that occurs through your account unless caused by our own fault. • You must promptly notify us at support@vegavidya.com if you suspect unauthorized access to your account. 1.5 What the Service does Vega Vidya helps learners create and review visual memory structures such as folders, easels, canvases, and tags. The Service is a study and organization tool. It is not a coaching institute, not a medical or academic authority, and not a substitute for your own judgment, textbooks, teachers, or professional advice. 1.6 Free and paid access • The free plan currently allows account-level use up to 118 tags, subject to change by us with notice for future users or future billing periods. • The paid plan currently gives 1 month of paid access from the date of payment. • During an active paid month, new tags are not limited by the free-plan cap. • When the paid month ends, existing tags remain in the account and can still be viewed and reviewed. • After the paid month ends, new-tag creation falls back to the then-applicable free-plan rule. Under the current V1 model, if the total tag count is below 118, new tags may be added only until the total reaches 118; if the total tag count is already 118 or more, renewal is required to add new tags. • Paid access is not treated as perpetual unless we expressly state otherwise. 1.7 Payments and billing • Payments are processed through third-party payment providers, currently including Razorpay. • Prices, taxes, and billing details shown at checkout form part of the purchase terms for that transaction. • Invoices, where issued, may show the legal entity name NOFICKLE TECHNOLOGIES PRIVATE LIMITED even if the product brand shown to users is Vega Vidya. • Unless expressly stated at checkout, paid access is not auto-renewing. 1.8 Refunds and cancellations Refunds and cancellations are governed by the separate Refund & Cancellation Policy published with the Service. If there is a conflict between a specific checkout promise and the general policy, the specific checkout promise will control for that transaction. 1.9 User content You retain ownership of the content you create in the Service, such as tags, notes, and study structures ("User Content"). You grant us a limited, non-exclusive, worldwide license to host, store, process, transmit, back up, and display User Content solely to provide, secure, maintain, and improve the Service. 1.10 Acceptable use • Do not use the Service in a way that violates any law or regulation. • Do not upload or create content that infringes another person’s intellectual property or privacy rights. • Do not attempt to disrupt, reverse engineer, probe, scrape, or abuse the Service, except to the extent such restriction is not permitted by law. • Do not misuse free accounts, payment flows, or security features. • Do not upload malware, harmful code, or any content intended to compromise users or systems. 1.11 Intellectual property The Service, including our software, brand assets, interface design, and non-user content, is owned by or licensed to us and protected by applicable intellectual property laws. These Terms do not transfer ownership of our intellectual property to you. 1.12 Third-party services The Service may rely on or link to third-party services, such as authentication, hosting, payment, analytics, or communication providers. We are not responsible for third-party services except as required by law. 1.13 Service changes, suspension, and termination • We may modify, improve, suspend, or discontinue any part of the Service from time to time. • We may suspend or terminate access if we reasonably believe you have violated these Terms, created risk for other users, or misused the Service. • You may stop using the Service at any time. 1.14 Disclaimers The Service is provided on an "as is" and "as available" basis to the fullest extent permitted by law. We do not guarantee uninterrupted availability, complete error-free operation, or any particular educational result, rank, score, or outcome. 1.15 Limitation of liability To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of data, profits, goodwill, or study opportunities, arising from or related to the Service. Our aggregate liability for claims relating to the paid Service will not exceed the amount you paid to us for the specific billing period giving rise to the claim, except where a higher amount is required by law. 1.16 Governing law and dispute resolution These Terms are governed by the laws of India.
